REPORT OF THE NOMINATING COMMITTEE In compliance with Teachers Federal Credit Union bylaws, the Nominating Committee submitted its report to the Secretary of the Board of Directors on Wednesday, September 4, 2024. Those nominated for the three available Board seats are: NOTICE TO MEMBERS Teachers Federal Credit Union’s bylaws also provide for nominations to be made by petition, signed by 1% of the members with a minimum of 20 members and a maximum of 500 members. Petition forms are available at the Teachers Headquarters building in Hauppauge and can be picked up in person Monday through Friday, 9:00 AM to 4:30 PM. Nominations by petition must be filed with the credit union's secretary in the same location no later than 4:30 PM on Friday, March 14, 2025. Each nominee by petition must submit with the petition a statement of qualifications and biographical data, not to exceed 382 words, as was submitted for the nominees nominated by the Nominating Committee. Nominations by petition must also be accompanied by a signed certificate from each nominee stating that they are agreeable to the nomination and will serve if elected to office. This volunteer Board position is an unpaid office with significant responsibilities and has a term of three years. The full slate of all candidates running for a seat on the Board of Directors will be posted in all Teachers offices and on the Teachers website (teachersfcu.org) by Wednesday, March 19, 2025. Elections will not be conducted by ballot, and there will be no nominations from the floor when there is only one nominee for each position to be filled. The results of the election will be announced during Teachers Federal Credit Union's Annual Meeting, which will be held on Wednesday, April 23, 2025. This meeting is open to all Teachers members and all are welcome. Mark O. Israel, CPA, MBA, was appointed to the Teachers Federal Credit Union Board of Directors in October 2023. Prior to his appointment, Mr. Israel first served on the Teachers Supervisory Committee beginning in 2016, holding the position of Chair since 2021. Mr. Israel retired from Brookhaven Science Associates, LLC/Brookhaven National Laboratory in 2015 after 41 years in various financial management positions, culminating as part of the Senior Leadership Team as Chief Audit Executive/Director of Internal Audit. His previous positions include Chief Financial Officer and Associate Laboratory Director for Finance, Director of Internal Audit and Independent Oversight, Fiscal Officer, and Supervisory Internal Auditor. Ancillary responsibilities included the Brookhaven Science Associates Retirement Committee Chair, which oversees the Laboratory’s 401(a) Defined Contribution Retirement Plan and 401(k) Plan. Mark O. Israel Tim M. Southerton is Chairman of the Board of Teachers Federal Credit Union. He joined the organization as a director in 2016 after serving on the Supervisory Committee and Employee Pension Plans Board since 2014. In addition to his work with Teachers, Mr. Southerton was a board member of the New York State Teachers Retirement System (NYSTRS), where he contributed to the Audit and Disability Review Committees. His leadership has extended to NYSUT, where he served on the Board of Directors. Additionally, he was president of the Sayville Teachers Association and trustee of the Sayville Employees’ Benefit Trust. Mr. Southerton's experience also includes serving as a board member of the Suffolk School Employees’ Health Plan, overseeing a $70 million self-funded health insurance consortium serving school districts including Sayville, Smithtown, South Country, and Three Village. Tim Southerton Jeffrey Kloss was appointed to the Teachers Federal Credit Union Board of Directors in April 2024. Mr. Kloss recently retired from TruStage (formerly CUNA Mutual Group) after more than 40 years of dedicated service to credit unions across the United States. At TruStage, he contributed to the success of departments including lending, risk management, wealth management, property and casualty brokerage operations, technology solutions, and organization management. As Senior Marketing Officer leading the TruStage Western Marketing Division, he managed regional sales operations and led an operational team responsible for credit union member claims benefits on the West Coast. Other leadership positions include serving on the boards of directors at various credit unions and as Chairman of the Board for the California/Nevada Credit Union Leagues Group Health Trust program. Mr. Kloss also served on the Board of Directors for the Shapiro Group—a think tank for the California/ Nevada Credit Union Leagues. Jeff Kloss
