REPORT OF THE NOMINATING COMMITTEE In compliance with Teachers Federal Credit Union bylaws, the Nominating Committee submitted its report to the Secretary of the Board of Directors on Wednesday, August 30, 2023. Those nominated for the three available Board seats are: NOTICE TO MEMBERS Teachers Federal Credit Union’s bylaws also provide for nominations to be made by petition, signed by at least 500 members. Petition forms are available at the Teachers Headquarters building in Hauppauge on the 6th floor, and can be picked up in person, Monday through Friday, 9:00 AM to 4:30 PM. Nominations by petition must be filed with the credit union's secretary in the same location no later than 4:30 PM on Wednesday, December 20, 2023. Each nominee by petition must submit with the petition a similar statement of qualifications and biographical data, not to exceed 382 words, as was submitted for the nominees nominated by the Nominating Committee. Nominations by petition must also be accompanied by a signed certificate from the nominee or nominees stating that they are agreeable to the nomination and will serve if elected to office. This volunteer position to the Board is an unpaid office with significant responsibilities, and has a term of three years. The full slate of all candidates running for a seat on the Board of Directors will be posted in all Teachers offices by Tuesday, March 12, 2024. Elections will not be conducted by ballot and there will be no nominations from the floor when there is only one nominee for each position to be filled. The results of the election will be announced during Teachers Federal Credit Union's Annual Meeting which will be held on Tuesday, April 16, 2024. This meeting is open to all Teachers members and all are welcome. Robert J. Ney has served on the Teachers Federal Credit Union Board of Directors since 2004. He holds a Master's Degree in Education from Hofstra University and a Bachelor’s Degree in Business Administration in Finance and Marketing from Oklahoma University. Mr. Ney began serving Teachers as a volunteer on the Supervisory Committee in 1999 after retiring from teaching business, marketing, and finance for the Connetquot School District for 27 years. During his tenure at Connetquot School District, he served as treasurer of the Teachers Association, as a NYSTRS delegate, and as a building representative for the teachers union. Prior to teaching, Mr. Ney held a real estate license and was employed by Travelers Insurance Company as an account analyst. Mr. Ney was Chairman of the Pension Plans Board where he currently serves as a member. He also served on the Personnel/Compensation Committee. Mr. Ney was awarded the Credit Union National Association Certified Credit Union Board Member (CCUB) designation at both the Board-level and the Supervisory/Audit-level. In addition to his work for the Board, Mr. Ney also has served on the fundraising Dinner/Dance Committee at the Maryhaven Center of Hope, a school for special needs children and adults. Robert J. Ney April Neitlich joined the Board of Directors in 2014. She has served as Vice Chairman and Secretary. She began volunteering for Teachers in 2008 as a member of the Supervisory Committee. Ms. Neitlich is currently the Board representative to the Supervisory Committee and a member of the Financial Management and Risk Committee. She has been a member of the Teachers Personnel Committee, Nominating Committee, and Pension Board. Ms. Neitlich has 35 years of auditing experience. She recently retired from Stony Brook University where she was the Assistant Director of Audit and Management Advisory Services. In this role, she was responsible for planning, conducting, and supervising financial, operational and compliance audits, including performing risk assessments, evaluating the adequacy and effectiveness of the University’s operations, compliance with University policies and procedures, federal and state laws and regulations, and evaluating the adequacy of the systems of internal control. Ms. Neitlich is a Certified Public Accountant and graduated cum laude from the State University of New York at Oswego with a Bachelor of Science in Accounting. She is a member of the Association of College and University Auditors (ACUA). April Neitlich Juan C. Nuñez is Vice Chairman of the Board and has been a member of the Teachers Federal Credit Union family since 1993. In 2003, he volunteered to serve on the supervisory committee, and in 2008 he was elected to the Board of Directors. Mr. Nuñez is currently a member of the Executive Committee and Financial Management and Risk Committee, was previously Board Treasurer, chairman of the Pension Plan Committee, member of the Personnel Committee, and member of the Facilities & Planning Committee. He earned a Certified Credit Union Board (CCUB) member designation issued by the Credit Union National Association (CUNA) in 2015. A financial veteran with more than 30 years in leadership roles at large companies with global business operations, Mr. Nuñez has extensive experience in strategic planning, budgeting, corporate restructurings, and risk management. He holds a bachelor’s degree in finance & economics, and an MBA in financial management. He also holds certifications in corporate cybersecurity, information technology, and risk management. Juan C.
